Silverbranch Praxis LLC – Terms of Service
Effective March 28, 2026:
These Terms of Service (“Terms”) govern participation in Silverbranch Praxis LLC (“SBX”) services, including the SBX Authentic Presence™ Workshop and related offerings: SBX Spark™, SBX Signal™, and SBX Symphony™. By purchasing, enrolling in, or participating in any SBX service, you (“Client”) agree to be bound by these Terms.
1. Services Overview
SBX provides strategic advisory, brand architecture, and signal development services across three primary engagement tiers:
- SBX Spark™: A 90-minute strategy intensive designed to launch the foundation of a digital brand. Includes an SBX Action Brief™.
- SBX Signal™: A 3-session engagement (1x 90-minute workshop + 2x 45-minute coaching sessions) focused on brand signal development. Includes a Custom SBX Action Brief™, SBX Roadmap™ and 12-months SBX Cohort Signals Lab™ access.
- SBX Symphony™: A bespoke, high-touch subscription program for founders and executives involving monthly advisory and full-suite brand support.
2. Payment & Third-Party Processing
- Fees: SBX Spark™ and SBX Signal™ fees must be paid in full prior to booking. SBX Symphony™ requires a non-refundable intake fee and a minimum first-month engagement.
- No Refunds: All fees are non-refundable.
- Third-Party Disclosure: SBX utilizes HubSpot and Stripe for checkout functionality and payment processing. By using these services, Client acknowledges and consents to the following:
- Data Collection: Your personal and financial data will be collected, processed, and stored by HubSpot and Stripe.
- International Transfer: Your data may be transmitted or possessed outside of your or SBX’s jurisdiction and may be subject to disclosure as required by applicable law.
- Security: SBX does not store credit card information; all transactions are handled via PCI-compliant third-party processors.
3. Attendance, Rescheduling & No-Shows
- Notice Period: Sessions may be rescheduled with at least 24 hours’ notice.
- Late Cancellations & No-Shows: Failure to attend or provide 24-hour notice results in the following:
- Spark™: Forfeiture of session; $50 Restart Fee to rebook.
- Signal™: Missed sessions count against the program total and cannot be made up without additional fees.
- Symphony™: Missed advisory sessions are forfeited for that month and are not guaranteed to be rescheduled within the same billing cycle.
4. Engagement Windows & Termination
- Signal™ Completion: All sessions must be completed within a 6-week window from the date of the first session.
- Cohort Signals Lab™: Access is granted for 12 months post-workshop.
- Symphony Termination: Either party may terminate the engagement with 45 days’ written notice. Final billing will be pro-rated to cover the 45-day notice period.
5. Intellectual Property (IP)
- SBX Ownership: All frameworks and tools (e.g., SBX Signal OS™, Authentic Presence Framework™) remain the exclusive IP of SBX.
- Client License: Clients receive a limited, non-transferable license to use their specific SBX Action Brief™ or SBX Roadmap™ for personal or internal business use.
- Restrictions: Clients may not reproduce, commercialize, or repurpose SBX frameworks for use in their own service offerings to third parties.
6. Recordings & AI Transcriptions
- No Recording: Clients are not permitted to record sessions.
- AI Transcription: SBX utilizes AI tools to generate session notes. Client consents to the processing of session audio for this purpose. SBX will not use Client data to train third-party AI models. Session notes can be provided upon request, but requests must be made within 30-days of the Session.
- Anonymized Usage: SBX may use anonymized insights from engagements for thought leadership or product development.
7. Professional Disclaimer & Liability
- No Guarantee: Outcomes depend on Client execution. SBX does not guarantee specific business, reputational or financial results.
- Not Professional Advice: SBX does not provide legal, tax, medical, financial or other licensed professional advice.
- Liability Limit: SBX’s total liability is limited to the fees paid by the Client for the applicable service.
8. Governing Law
These Terms are governed by the laws of the Commonwealth of Massachusetts. Parties agree to attempt mediation in Worcester County, MA before initiating litigation.
